Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the Toggler platform, APIs, SDKs, and related services (the "Service"). The Service is operated by Teamboks ApS ("Operator", "we", "us", or "our").

The Service is currently provided as part of an invitation-only Private Beta. By accessing or using the Service, you ("Customer", "you") agree to be bound by these Terms.

1. Beta Access and Scope

Toggler provides product infrastructure for organizational structure, roles, permissions, feature control, and auditability.

The Service is provided solely as early access. It is intended for evaluation, testing, and feedback — not for reliance in production-critical, safety-critical, or regulated environments.

2. As-Is, No Reliance

The Service is provided "as is" and "as available". It may contain bugs, errors, or incomplete functionality.

You agree not to rely on the Service for production-critical functionality. We make no guarantees regarding correctness, availability, performance, or outcomes.

3. Changes, Availability, and Breaking Changes

During the Private Beta, we may modify, suspend, or discontinue any part of the Service at any time, including APIs, SDKs, data models, and functionality.

Breaking changes may occur without notice. No service level commitments, uptime guarantees, or backward compatibility guarantees apply.

4. Accounts, Configuration, and Responsibility

You are responsible for all activity performed using your account, credentials, API keys, and configuration.

We are not responsible for customer-defined roles, permissions, access rules, or misconfiguration, including any resulting access, authorization, or compliance issues.

5. Data and Processing

You retain all rights to data submitted to or processed through the Service ("Customer Data").

When processing end-user or membership data on your behalf, we act as a data processor. You act as the data controller and are responsible for lawful collection and use of such data.

6. Data Retention and Backups

The Service is not a backup service. You are responsible for maintaining backups of your data.

We may delete Customer Data upon termination, suspension, or as reasonably necessary during the Private Beta.

7. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate access immediately and without notice, including to protect security, integrity, compliance, or to end the Private Beta.

8. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

9. Limitation of Liability

The Service is provided for evaluation only. To the maximum extent permitted by law, we shall have no liability arising out of or relating to the Service.

Your sole and exclusive remedy for any claim or dissatisfaction with the Service is to stop using the Service.

10. Governing Law

These Terms are governed by the laws of Denmark, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the Danish courts.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
